2. Nature of Services

ActiveSF provides a software-as-a-service (SaaS) platform and consulting services for business users.

Our services may include tools for workflow support, business processes, automation, and related business functionality.

Important: Our services are not intended to provide legal, financial, medical, or other regulated professional advice, and should not be relied upon for such purposes.

3. Eligibility

To use our services, you must:

• Be at least 18 years old, and
• Have authority to bind the business or organization you represent.

Our services are intended for business use only (B2B).

4. Accounts

To access certain features, you must create an account.

You agree to:

• Provide accurate and complete information;
• Maintain the confidentiality of your login credentials;
• Be responsible for all activity under your account.

We reserve the right to suspend or terminate accounts at our discretion, including for breach of these Terms, security concerns, or misuse of the platform.

5. User Data and Content

Users may upload or input data, files, and other content ("User Content").

You retain ownership of your User Content.

By using our services, you grant ActiveSF a limited, non-exclusive licence to process and store User Content solely for the purpose of:

• Providing the service;
• Operating and improving functionality;
• Ensuring security and compliance.

You are responsible for ensuring that you have the necessary rights to upload any User Content.

6. AI and Automated Features

Our services may use artificial intelligence and automated systems to provide functionality and outputs.

You acknowledge that:

• AI-generated outputs may not always be accurate or complete;
• Outputs should not be treated as professional advice or factually guaranteed information;
• You are responsible for verifying any outputs before relying on them.

7. Subscription and Payments

Some services are free, while others require a paid subscription.

Where applicable:

• Fees will be disclosed at the time of purchase;
• Subscriptions may be cancelled at any time;
• Access will continue until the end of the billing period after cancellation;
• Refunds are not generally provided unless required by law.

We reserve the right to modify pricing with reasonable notice.

8. Acceptable Use

You agree not to:

• Use the service for unlawful purposes;
• Attempt to gain unauthorised access to systems or data;
• Interfere with or disrupt service operation;
• Upload malicious code or harmful content;
• Use the service in violation of applicable laws or sanctions.

9. Intellectual Property

All software, design, branding, and content provided by ActiveSF (excluding User Content) is owned by or licensed to ActiveSF Ltd. and protected by applicable intellectual property laws.

You may not copy, modify, distribute, or reverse engineer any part of the service without permission.

10. Data Protection and Privacy

We process personal data in accordance with applicable laws including:

• PIPEDA (Canada)
• GDPR (EU)
• UK GDPR (where applicable)

A separate Privacy Policy governs how we collect, use, and protect personal data.

We act as a data processor for certain User Content and as a data controller for account and billing information.

11. Third-Party Services

We may use third-party providers (including authentication and infrastructure providers) to operate the service.

We are not responsible for the availability, performance, or policies of third-party services.

12. Service Availability

We aim to provide continuous service but do not guarantee uninterrupted or error-free operation.

We may modify, suspend, or discontinue any part of the service at any time.

13. Termination

We may suspend or terminate your access if:

• You violate these Terms;
• Required for legal or security reasons;
• Continued use poses risk to the service or other users.

You may stop using the service at any time.

14. Disclaimer

The service is provided “as is” and “as available” without warranties of any kind.

We do not guarantee:

• Accuracy of outputs (including AI outputs);
• Suitability for any specific purpose;
• Uninterrupted or error-free operation.

15. Limitation of Liability

To the maximum extent permitted by law:

ActiveSF Ltd. shall not be liable for:

• Indirect, incidental, or consequential damages;
• Loss of profits, data, or business opportunities;
• Reliance on outputs generated by the service.

Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

16. Indemnification

You agree to indemnify and hold harmless ActiveSF Ltd. from claims arising from:

• Your use of the service;
• Your User Content;
• Your violation of these Terms or applicable law.

17. Governing Law

These Terms are governed by the laws of Nova Scotia, Canada, and applicable federal laws of Canada.

Any disputes will be resolved in the courts of Nova Scotia, unless otherwise required by law.

18. International Use

Our services are available globally, excluding jurisdictions subject to Canadian sanctions or legal restrictions.

Users are responsible for ensuring compliance with local laws.

19. Changes to Terms

We may update these Terms from time to time. Updates will be posted on this page with a revised “Last updated” date.

Continued use of the service constitutes acceptance of the updated Terms.
